DECISION STATED THAT THE BOARD IS UNABLE TO REACH A MAJORITY DECISION ON AN APPEAL OF A DIRECTOR'S ORDER THAT REQUIRED EMPLOYEE PROTECTIVE CONDITIONS FOR A CORPORATE FAMILY TRANSACTION AND THAT, ACCORDINGLY, THE APPEAL CANNOT BE GRANTED AND THE DIRECTOR'S ORDER REMAINS IN EFFECT. THE BOARD WILL TAKE NO FURTHER ACTION IN THIS MATTER.
