FOUND THAT THERE IS NO NEED FOR A FORMAL ENVIRONMENTAL REVIEW UNDER THE NATIONAL ENVIRONMENTAL POLICY ACT AND THAT THE PROPOSED TRANSACTION IS 'CATEGORICALLY EXCLUDED' FROM ENVIRONMENTAL ANALYSIS UNDER THE ENVIRONMENTAL RULES AT 49 CFR 1105.6(C)(2)(I).
